Conesh1 Terms of Service

Effective Date: 20/4/2025

1. Service Delivery

(a) Scope
Services are provided “as described” in Proposals, Quotes, or SOWs. Conesh1 retains discretion over how Services are performed.

(b) Client Responsibilities

  • Client assumes responsibility for:

    • Providing accurate, timely information.

    • Backing up systems/data before Services commence.

    • Ensuring compliance with laws applicable to Client’s use of Services.

(c) Subcontractors
Conesh1 may engage subcontractors at its sole discretion.

2. Products

(a) No Warranties
Products are supplied “as-is”. Conesh1 disclaims all warranties except those required by law.
(b) Risk Transfer
Client assumes all risk for Products upon delivery.

3. Delays & Cancellations

  • Delays caused by Client may result in rescheduling fees.

  • Cancellations with <3 business days’ notice incur full payment for scheduled work.

4. Limitation of Liability

To the extent permitted by law:

  • Conesh1’s liability is limited to re-performance of Services or refund of fees paid.

  • Conesh1 excludes liability for indirect, consequential, or incidental losses (e.g., lost profits, data loss).

5. Compliance & Assumptions

  • Client acknowledges Services rely on information provided by Client.

  • Conesh1 is not responsible for Client’s legal/regulatory compliance unless explicitly stated in a SOW.

6. Payment

  • Late payments incur interest at 1.5% per month.

  • Client covers all costs (legal/debt recovery) for unpaid invoices.

7. Termination

Conesh1 may terminate Services for convenience with 30 days’ written notice.

8. Force Majeure

Conesh1 is not liable for delays/failures caused by events beyond its control (e.g., pandemics, cyberattacks).

9. General

  • Entire Agreement: These terms supersede all prior agreements.

  • Severability: If any clause is unenforceable, the remainder survives.

  • Governing Law: NSW, Australia.
